DEFINITIONS

  • "Platform" means Zapex and all related services, websites, and applications
  • "Token" means creator tokens launched and traded on the Platform
  • "Battle" means time-limited competitive events between creators
  • "Creator" means users who launch tokens and stream on the Platform
  • "User" means any person accessing or using the Platform
  • "Live Session" means active streaming by a Creator
  • "Trading Volume" means the total value of buy and sell transactions
  • "Manifest Error" means obvious error in calculation, display, or processing
  • "Improper Intent" means fraudulent, manipulative, or abusive behavior
  • "Fees" means all charges imposed by the Platform

1. ACCEPTANCE OF TERMS

By accessing or using Zapex, you agree to be bound by these Terms of Service and all applicable laws and regulations. These Terms form a binding agreement between you and Zapex OÜ. If you do not agree, you must not use the Platform.

These Terms may be updated at any time. Continued use constitutes acceptance of any modifications.

2. NO FIDUCIARY DUTY OR ADVISORY RELATIONSHIP

ZAPEX IS NOT YOUR BROKER, INVESTMENT ADVISOR, OR FIDUCIARY

  • We do not provide personalized investment advice
  • We owe you no fiduciary duties
  • We are not registered as a broker-dealer or investment advisor
  • Nothing on the Platform constitutes financial advice
  • You are solely responsible for your trading decisions

2A. TOKENS ARE NOT SECURITIES

Tokens launched on Zapex are experimental digital assets created by users.

Zapex does not issue, endorse, or promote any token as an investment.

Tokens do not represent:

  • Equity
  • Ownership
  • Profit rights
  • Governance rights
  • Claims on Zapex

Tokens are created and traded solely for entertainment and social engagement purposes.

2B. NON-CUSTODIAL PLATFORM

Zapex does not take custody of user funds.

All transactions occur directly on the blockchain through user-controlled wallets, including external wallets and supported embedded wallets.

Zapex does not execute trades on behalf of users.

All trades are initiated and authorized directly by users through their own wallets.

Zapex cannot access, freeze, or recover user funds.

Users are solely responsible for securing their wallets, linked accounts, devices, and any credentials used to access them.

2C. NO EXPECTATION OF PROFIT

Users should not purchase tokens with an expectation of profit based on the efforts of Zapex or any creator.

2D. THIRD-PARTY WALLET AND AUTHENTICATION INFRASTRUCTURE

Zapex may integrate third-party authentication and wallet infrastructure, including social or email login, linked external wallets, and embedded wallets.

These services may be provided by third parties such as Privy and related identity or wallet providers. Your use of those flows may also be subject to the terms, policies, and technical limitations of those third parties.

Zapex provides the application interface, but does not represent or warrant the availability, uninterrupted operation, recovery flows, or independent security controls of any third-party wallet or authentication provider.

You are responsible for maintaining control of any email account, social login, external wallet, device, passcode, or other credential used to access the Platform.

3. ELIGIBILITY

  • You must be at least 18 years old
  • You must have legal capacity to enter binding agreements
  • You must comply with all local laws and regulations
  • You must not be located in a prohibited jurisdiction
  • You must not be on any sanctions or prohibited persons lists

You may not use the Platform if you are located in, incorporated in, resident of, or otherwise subject to the laws of any jurisdiction where use of the Platform would be unlawful or would subject Zapex or its affiliates to any registration, licensing, or regulatory requirement.

Restricted jurisdictions may include, without limitation, jurisdictions subject to sanctions or heightened regulatory restrictions.

4. LIVE-GATED TRADING MECHANICS

TOKENS CAN ONLY BE TRADED WHEN THE CREATOR IS ACTIVELY STREAMING

  • Trading is conditional on active Live Session status
  • We may pause, disable, or restrict trading at any time
  • We do not guarantee trading availability even during Live Sessions
  • Network issues, technical problems, or Platform decisions may affect availability
  • No compensation for missed trading opportunities

4A. STREAMING DISCLAIMER

Zapex does not guarantee:

  • Stream availability
  • Uninterrupted broadcasts
  • Creator participation

Creators may stop streaming at any time.

Trading availability may be affected by streaming interruptions.

5. BATTLE MECHANICS AND OUTCOMES

Battle Rules:

  • Winners determined by Trading Volume during the battle period
  • Volume calculations subject to delays, latency, and chain congestion
  • We reserve the right to recalculate or adjust metrics
  • Battle outcomes are not guaranteed and may be voided
  • Technical issues may affect outcome determination

BATTLE OUTCOMES DO NOT CONSTITUTE FINANCIAL GUARANTEES OR PROMISES OF VALUE

5A. CREATOR TOKEN RISKS

Creator tokens are highly speculative and may have no intrinsic value.

  • Creators may abandon projects at any time
  • Tokens may experience extreme price swings or collapse entirely
  • Liquidity may disappear and exit may be impossible
  • Creators may buy, sell, or hold their own tokens

Zapex does not monitor or restrict such activity.

Zapex does not verify the legitimacy, accuracy, or intentions of creators.

6. FEES AND CALCULATIONS

ALL FEES AND CALCULATIONS ARE FINAL AND BINDING ABSENT MANIFEST ERROR

Platform Fees:

  • Trading fees apply to all transactions executed on the Platform
  • Current fee structure:
  • • Protocol Fee: 0.95%
  • • Creator Fee: 0.50%
  • • Total Trading Fee: 1.45% per transaction
  • Fees are automatically deducted from transactions
  • All fees are non-refundable
  • Platform fees may change at our discretion without prior notice

Creator Revenue Share:

  • Creators may receive a percentage of trading fees generated by their token
  • We may withhold payouts for suspected abuse
  • We may withhold for disputes, chargebacks, or legal issues
  • Payout timing is not guaranteed
  • We may adjust or cancel revenue share at our discretion

7. POWER TO CANCEL OR VOID TRANSACTIONS

WE RESERVE THE RIGHT TO CANCEL, REVERSE, OR VOID ANY TRANSACTION

We may take these actions in cases of:

  • Manifest Error in pricing or calculations
  • Improper Intent or fraudulent activity
  • Market manipulation or wash trading
  • Technical errors or system failures
  • Violation of these Terms
  • Regulatory requirements or legal orders

Such actions are at our sole discretion and are final

8. PROHIBITED USES

THE FOLLOWING ACTIVITIES ARE STRICTLY PROHIBITED:

Market Manipulation:

  • Wash trading or self-trading
  • Artificial volume inflation
  • Spoofing or layering orders
  • Coordinated trading schemes
  • Price manipulation
  • Front-running

Technical Abuse:

  • Unauthorized bots or automated systems
  • Scraping or data harvesting
  • Reverse engineering
  • Circumventing security measures
  • Distributed denial of service attacks
  • Exploiting bugs or vulnerabilities

Content Violations:

  • False or misleading information
  • Impersonation
  • Harassment or abuse
  • Illegal content
  • Intellectual property infringement
  • Doxxing or privacy violations

VIOLATION RESULTS IN IMMEDIATE TERMINATION AND POSSIBLE LEGAL ACTION

9. CONTENT LICENSE AND RIGHTS

By streaming or uploading content, you grant Zapex:

  • Worldwide, royalty-free license to use your content
  • Right to display, reproduce, and distribute your streams
  • Permission to use your name and likeness for marketing
  • Right to create shorts and promotional materials
  • License survives termination of your account

You retain ownership but grant us broad usage rights.

10. MANDATORY ARBITRATION AND CLASS ACTION WAIVER

PLEASE READ CAREFULLY - THIS AFFECTS YOUR LEGAL RIGHTS

Binding Arbitration:

  • All disputes resolved through binding arbitration
  • No jury trials
  • Limited discovery and appeal rights
  • Binding arbitration under the Arbitration Rules of the Arbitral Tribunal of the Principality of Andorra (ATPA)
  • Seat of arbitration: Andorra la Vella, Andorra
  • Language of the arbitral proceedings: English

CLASS ACTION WAIVER:

YOU WAIVE ANY RIGHT TO BRING OR PARTICIPATE IN CLASS ACTIONS

  • No class or representative actions
  • No class-wide arbitrations
  • Claims must be brought individually
  • No joining or consolidation of claims

Mass Arbitration Procedures:

If 25+ similar claims are filed:

  • Batching procedures apply
  • Initial test cases selected
  • Mediation required
  • Staged resolution process

11. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZAPEX'S TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 30 DAYS PRIOR TO THE CLAIM

We are not liable for:

  • Trading losses or token devaluation
  • Lost profits or opportunities
  • Technical failures or outages
  • Third-party actions
  • Force majeure events
  • Indirect or consequential damages

12. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Zapex, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from:

  • Your use of the Platform
  • Your violation of these Terms
  • Your content or trading activities
  • Your violation of any laws or third-party rights

13. COMPREHENSIVE RISK DISCLOSURE

DETAILED RISK WARNING - READ CAREFULLY

Financial Risks:

  • 100% loss of invested funds is possible and common
  • Extreme price volatility (±99% in minutes)
  • No guaranteed liquidity or ability to exit positions
  • Tokens may become completely worthless
  • No regulatory protection or insurance

Platform Risks:

  • Smart contract vulnerabilities
  • Technical failures and outages
  • Hacking and security breaches
  • Front-running by other traders
  • MEV (Maximum Extractable Value) exploitation

Regulatory Risks:

  • Regulatory changes may affect operations
  • Tokens may be deemed securities
  • Platform may be forced to cease operations
  • Tax obligations are your responsibility

DO NOT TRADE UNLESS YOU FULLY UNDERSTAND AND ACCEPT THESE RISKS

14. REGULATORY COMPLIANCE

You are solely responsible for:

  • Determining legal status of token trading in your jurisdiction
  • Complying with all applicable laws
  • Paying all applicable taxes
  • Maintaining required records
  • Obtaining necessary licenses or permits

We do not provide tax, legal, or regulatory advice

15. TERMINATION

We may immediately terminate or suspend your access:

  • For any violation of these Terms
  • For suspected fraud or manipulation
  • For legal or regulatory reasons
  • At our sole discretion without cause

Upon termination:

  • Access to Platform ceases immediately
  • Pending transactions may be cancelled
  • No refund of fees
  • Content license survives

16. GENERAL PROVISIONS

Governing Law:

These Terms are governed by the laws of Andorra.

Severability:

If any provision is unenforceable, remaining provisions continue

Entire Agreement:

These Terms constitute the complete agreement

Assignment:

We may assign these Terms; you may not

Waiver:

No waiver unless in writing

FINAL ACKNOWLEDGMENT

BY USING ZAPEX, YOU ACKNOWLEDGE THAT:

  • You have read and understood these Terms in full
  • You accept all risks associated with token trading
  • You waive class action rights
  • You agree to binding arbitration
  • You will not hold Zapex liable for losses
  • You are using the Platform at your own risk
  • You understand tokens may become worthless
  • You are not relying on Zapex for financial advice
